ASYSTEM Creator Program Terms & Conditions

Effective Date: May 21, 2026

These Creator Program Terms & Conditions (“Agreement”) govern participation in the ASYSTEM Creator Program (“Program”) operated by 271 Lake Davis Holdings LLC, a Delaware limited liability company (“ASYSTEM,” “Company,” “we,” “our,” or “us”), with principal corporate offices located at 433 Plaza Real, Suite 275, Boca Raton, Florida 33432.

This Agreement applies to all creator, influencer, affiliate, ambassador, UGC, social media, promotional, marketing, advertising, and partnership activities conducted in connection with the Program, including but not limited to participation through Shopify Collabs, creator application pages, affiliate links, social media content, digital media, websites, newsletters, podcasts, and promotional campaigns related to ASYSTEM products and services.

By applying to, participating in, or continuing participation in the Program, you (“Creator,” “Influencer,” “Affiliate,” “Partner,” “you,” or “your”) acknowledge that you have read, understood, and agreed to comply with this Agreement, all applicable Program policies, and all applicable laws and regulations.

PROGRAM ELIGIBILITY

Participation in the Program is subject to approval by ASYSTEM. We reserve the right to approve, reject, suspend, restrict, or terminate any creator application, affiliate relationship, account, or participation at any time and for any reason in our sole discretion.

Creators must:

• Be at least eighteen (18) years of age;
• Be legally capable of entering into binding agreements;
• Maintain professional, functional, and brand-safe social media accounts and promotional properties;
• Comply with all applicable advertising, marketing, privacy, disclosure, consumer protection, FTC, FDA, supplement, wellness, and platform-specific regulations and policies.

Approval applies only to the creator profiles, social channels, websites, or promotional properties disclosed during application. Additional promotional channels may require separate review and approval.

PROGRAM PARTICIPATION

Approved creators may promote ASYSTEM products using authorized affiliate links, creator links, discount codes, promotional assets, approved creative materials, and marketing resources provided through Shopify Collabs, approved creator campaigns, or directly by ASYSTEM.

Participation in the Program does not guarantee:

• Product gifting;
• Paid sponsorships;
• Elevated commission tiers;
• Discount code eligibility;
• Campaign participation;
• Ongoing collaboration opportunities;
• Exclusive partnerships;
• Minimum earnings or compensation.

ASYSTEM reserves the right to modify, suspend, remove, or revoke any creator benefits, commission structures, discount eligibility, gifting opportunities, campaign participation, or partnership status at any time and in its sole discretion.

COMMISSIONS & PAYMENTS

Affiliate and creator commissions are not guaranteed and remain subject to validation, review, attribution analysis, fraud review, refund review, cancellation review, customer qualification review, and compliance with this Agreement.

ASYSTEM reserves the right to:

• Adjust, reverse, reduce, withhold, decline, or deny commissions;
• Determine commission eligibility;
• Review attribution overlap;
• Review traffic quality and incremental customer acquisition value;
• Reject transactions deemed non-compliant, fraudulent, low-quality, or non-incremental.

Transactions may be deemed ineligible for commission where:

• Existing customer activity is identified;
• Subscription renewal activity is identified;
• Attribution overlap exists;
• Unauthorized discount codes are used;
• Fraudulent, refunded, canceled, disputed, duplicate, or suspicious transactions occur;
• Promotional methods violate this Agreement;
• Traffic quality is deemed low-value or non-incremental.

Commission payments, payout schedules, payout thresholds, processing timelines, and tax documentation requirements are governed by Shopify Collabs and/or the applicable creator platform.

CREATOR COMMISSION TIERS

ASYSTEM may offer multiple creator commission structures and elevated creator tiers at its sole discretion.

Standard creator commissions may begin at 10%, with select creators potentially eligible for elevated commission structures of 12%, 15%, or higher based on factors including but not limited to:

• Audience quality;
• Engagement;
• Brand alignment;
• Professionalism;
• Content quality;
• Sales performance;
• Promotional consistency;
• Audience reach;
• Campaign participation;
• Overall strategic partnership value.

Elevated commission tiers are not guaranteed and may be modified, reduced, suspended, or revoked at any time.

DISCOUNT CODES & PROMOTIONS

Creators may only advertise or distribute discount codes, offers, promotions, or incentives expressly authorized by ASYSTEM.

Participation in the Program does not automatically entitle creators to personalized follower discount codes.

Follower discount code eligibility may be evaluated after partnership review and performance analysis and remains solely at ASYSTEM’s discretion.

Unauthorized discount sharing, leaked promotions, scraped codes, misleading offers, or unauthorized promotional representations are strictly prohibited.

ASYSTEM reserves the right to reverse commissions associated with unauthorized promotional activity.

SOCIAL MEDIA & CONTENT REQUIREMENTS

Creators may promote ASYSTEM products only through approved social media accounts, websites, newsletters, podcasts, blogs, or promotional channels.

Creators may not:

• Misrepresent themselves as ASYSTEM employees, owners, agents, or representatives;
• Impersonate ASYSTEM;
• Make false, deceptive, misleading, prohibited, unsubstantiated, or non-compliant claims;
• Make disease-treatment, cure, diagnosis, prescription-equivalency, hormone replacement, TRT-equivalency, pharmaceutical, FDA approval, or medical treatment claims;
• Misrepresent ASYSTEM products as prescription products or guaranteed outcomes;
• Use deceptive advertising methods;
• Engage in spam, fake engagement, fraudulent traffic generation, or misleading promotional behavior.

All promotional content must comply with applicable:

• FTC disclosure requirements;
• FDA guidance;
• Consumer protection laws;
• Platform advertising policies;
• Supplement and wellness advertising regulations.

Creators must clearly and conspicuously disclose affiliate relationships in compliance with FTC endorsement guidelines.

SOCIAL TAGGING & CONTENT SUBMISSION

Creators promoting ASYSTEM products on platforms where ASYSTEM maintains active official social media accounts, including but not limited to Instagram and Facebook/Meta, may be required to properly tag, mention, or identify ASYSTEM’s official accounts in promotional content.

Where ASYSTEM does not maintain an official platform presence, including but not limited to TikTok, X/Twitter, LinkedIn, YouTube, podcasts, newsletters, blogs, or other platforms, creators may be required to submit promotional links, screenshots, or copies of promotional materials to partnerships@asystem.com upon request.

ASYSTEM reserves the right to require campaign hashtags, disclosure language, creator tags, promotional identifiers, or content submission requirements as part of Program participation.

INTELLECTUAL PROPERTY & CONTENT USAGE RIGHTS

ASYSTEM retains all ownership rights in its trademarks, logos, brand assets, marketing materials, product names, product imagery, advertising materials, creative assets, website content, and intellectual property.

Creators receive a limited, revocable, non-transferable license to use approved ASYSTEM materials solely for approved Program participation and in compliance with this Agreement.

Creator grants ASYSTEM and its affiliates, successors, licensees, advertising partners, agents, contractors, marketing partners, and assigns a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, repost, modify, crop, resize, adapt, edit, publish, distribute, display, translate, create derivative works from, advertise, amplify, whitelist, boost, repurpose, and otherwise utilize any ASYSTEM-related content created, submitted, published, posted, tagged, shared, or provided by Creator in connection with the Program.

This includes but is not limited to:

• Photographs;
• Videos;
• UGC content;
• Testimonials;
• Reviews;
• Social media posts;
• Reels;
• Stories;
• Usernames;
• Creator likeness;
• Voice;
• Comments;
• Advertising creatives;
• Promotional materials.

ASYSTEM may utilize such content across any media format or marketing channel now known or later developed, including but not limited to:

• Paid advertising;
• Meta/Facebook ads;
• Instagram ads;
• TikTok ads;
• Google advertising;
• Email marketing;
• SMS marketing;
• Organic social media;
• Website content;
• Retail materials;
• Amazon content;
• Product listings;
• Marketing campaigns;
• Press materials;
• Digital or physical advertising channels.

Creator acknowledges and agrees that no additional compensation, royalties, approvals, or notices shall be required for such usage unless otherwise agreed in writing by ASYSTEM.

Creator represents and warrants that they possess all necessary rights, licenses, permissions, consents, and authority required to grant the foregoing rights and that such content does not infringe upon the rights of any third party.

PROHIBITED CONTENT & CONDUCT

Creators may not promote ASYSTEM through:

• Adult or sexually explicit content;
• Illegal or unlawful activity;
• Hate speech or discriminatory content;
• Fraudulent engagement or purchased followers;
• Misleading or deceptive content;
• Malware, spyware, adware, or intrusive technologies;
• Misleading AI-generated content intended primarily for deceptive promotion or search manipulation;
• Non-compliant supplement or wellness claims;
• Any conduct deemed harmful to ASYSTEM’s reputation, legal compliance, or brand safety.

ASYSTEM reserves the right to determine acceptable creator conduct and content standards in its sole discretion.

COMPLIANCE & DISCLOSURES

Creators are solely responsible for complying with:

• FTC endorsement guidelines;
• Advertising laws;
• Consumer protection laws;
• Privacy laws;
• Platform policies;
• Supplement advertising regulations;
• FDA and FTC guidance applicable to wellness, supplement, and OTC promotional activity.

Required disclosures must be clear, conspicuous, and properly displayed near promotional claims or affiliate links.

TERM & TERMINATION

This Agreement remains in effect until terminated by either party.

ASYSTEM may suspend, restrict, deactivate, or terminate creator participation immediately and without notice for:

• Violations of this Agreement;
• Fraud concerns;
• Compliance issues;
• Low-quality or non-incremental traffic;
• Brand safety concerns;
• Unauthorized promotional behavior;
• Inactivity;
• Misleading claims;
• Unprofessional conduct;
• Any conduct deemed harmful to ASYSTEM.

Upon termination, creators must immediately cease use of all ASYSTEM intellectual property, affiliate links, promotional assets, and marketing materials.

DISCLAIMERS

The Program, creator platform, Shopify Collabs integration, affiliate systems, products, services, website, promotional materials, and all related materials are provided “as is” and “as available” without warranties of any kind, express or implied.

ASYSTEM makes no guarantees regarding:

• Creator earnings;
• Commission amounts;
• Conversion rates;
• Campaign participation;
• Product gifting;
• Program availability;
• Platform uptime;
• Tracking functionality;
• Sales performance.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, ASYSTEM shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages arising from participation in the Program.

ASYSTEM’s aggregate liability under this Agreement shall not exceed the total commissions paid to Creator during the twelve (12) months preceding the claim.

INDEMNIFICATION

Creator agrees to defend, indemnify, and hold harmless ASYSTEM and its officers, directors, employees, affiliates, successors, agents, licensors, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from:

• Creator promotional activity;
• Creator content;
• Violations of this Agreement;
• Violations of law;
• Third-party claims;
• Intellectual property disputes;
• FTC/FDA or advertising compliance issues related to Creator conduct.

GOVERNING LAW & DISPUTES

This Agreement shall be governed by the laws of the State of Florida without regard to conflict of law principles.

Any disputes arising under this Agreement shall be resolved through binding arbitration in the State of Florida except where prohibited by applicable law.

Creator agrees that any disputes shall be brought solely on an individual basis and not as part of any class action, collective action, representative proceeding, or similar action.

MODIFICATIONS

ASYSTEM reserves the right to modify this Agreement, creator policies, commission structures, discount eligibility, creator requirements, attribution methodologies, campaign participation requirements, and Program rules at any time.

Continued participation in the Program following any modification constitutes acceptance of the revised Agreement.
